Standard Form of Joint Venture Agreement for Porfessional Services between two or more parties to join together to provide specific professional services to a third party.
EJCDC® E-590 addresses core business issues such as capital and property contributions to the joint venture, responsibility for liabilities, entitlement to profits, and management of the joint venture, as well as design-specific issues such as ownership of jointly prepared design documents. This document is not meant for joint ventures between parties that are not design professional firms or individuals.
EJCDC includes the American Society of Civil Engineers, the American Council of Engineering Companies, the National Society of Professional Engineers, and the participation of more than fifteen other professional engineering design, construction, owner, legal, and risk management organizations.
EJCDC documents are delivered in Microsoft Word format (file extension *.doc). Microsoft Word is required if you wish to edit the files. A decompression/unzip utility, such as PowerArchiver (freeware) or WinZip (commercial), is needed.
